Subject: (A) Approve purchasing exemption of Section 2-38.2(2)(A) of the County Code, (B) Contract with AT&T, and (C) budget transfer for Vesta service and maintenance services not to exceed $65,000 for the “retro” term of September 24, 2025 through September 23, 2026.
Executive Summary: This item concerns the extension of Agreement 4156-6, originally entered into in 2017 between the State of California Governor’s Office of Emergency Services (CalOES) and American Telephone and Telegraph (AT&T). In 2017, AT&T installed six new Vesta 911 Call Taking Systems, also known as Call Processing Equipment (CPE), at the Lake County Sheriff’s Office Central Dispatch Center, which functions as a Public Safety Answering Point (PSAP). The original agreement stipulated that AT&T would service and maintain the now seven-position Vesta system for a period of five years. The cost of that contract was funded by the State through CalOES and did not result in a direct cost to the County of Lake.
Since the conclusion of the original contract term, extensions of the service and maintenance agreement have been coordinated directly between AT&T and CalOES. During each extension period, AT&T billed CalOES directly for the continued service and maintenance of the system.
In the end of 2025, CalOES has implemented a change to its purchasing policy. Rather than AT&T billing CalOES directly for the service and maintenance of the CPE equipment, CalOES will now reimburse individual PSAPs for the cost of these agreements after the local agency executes the contract and submits documentation for reimbursement.
Lake County’s most recent service agreement expired on September 23, 2025. Since September 24, 2025, AT&T has continued to provide service and maintenance support for the County’s PSAP in good faith, with the understanding that the agreement would be extended and executed under the same general terms and conditions as the prior agreements.
Attached is a quote from AT&T to service and maintain the above-referenced CPE for the period of September 24, 2025 through September 23, 2026, in the amount of $60,743.39. The agreement also includes the replacement and installation of uninterruptible power supplies (UPS) within the PSAP and at each call-taker position console to ensure uninterrupted system functionality.
Also attached is an OES-PSC-288 form, which has been completed by CalOES. This document outlines and confirms CalOES’ agreement to reimburse the County of Lake for the full cost of the service and maintenance agreement, totaling $60,743.39. NOTE: This amount will be reduced to $60,372.30 once the State adjusts to the correct Sales Tax rate.
The total amount of this agreement exceeds the dollar threshold outlined in the Lake County Purchasing Procedures that would normally require a formal competitive bidding process. However, it is the department’s opinion that initiating a formal bid process would not be in the public’s interest under the attached Article X Section 2-38.2(2)(A) exemption. AT&T is the original manufacturer, installer, and long-term service provider of the Vesta 911 Call Taking System currently deployed in the County’s PSAP. The system has been maintained by AT&T continuously since its installation in 2017, with extensions in place through September 23, 2025. Due to the proprietary nature of the equipment, system configuration, and integration with the existing emergency communications infrastructure, AT&T is uniquely positioned to continue providing maintenance and service without disruption to critical 911 operations.
Additionally, funding for this agreement has historically been provided through CalOES. The only substantive change this year is the administrative process by which payment is made. Under the revised procedure, the County of Lake will execute the agreement and remit payment to AT&T, after which CalOES will reimburse the County for the full cost. As a result, the agreement represents no net financial impact to the County, while ensuring the continued operation, reliability, and maintenance of the County’s emergency call-taking infrastructure.
Funding will be allocated from the Sheriff/Central Dispatch budget unit 2202, object code 17.00. A budget transfer is attached for your approval.
